RISKS AND OTHER CONSIDERATIONS

Eagle Point Institutional Income Fund (the “Fund”) is a non-diversified, closed-end management investment company.

Investors should consider their investment goals, time horizons and risk tolerance before investing in the Fund. Investors should also consider the Fund’s investment objectives, risks, charges and expenses carefully before investing in securities of the Fund.

Shares of the Fund are not traded on an exchange and therefore Fund shares have no liquidity.

The investment program of the Fund is speculative and entails substantial risk, including the possible loss of principal. There can be no assurance that Fund’s investment objectives will be achieved. An investment in the Fund is not appropriate for all investors and is not intended to be a complete investment program. The Fund is designed as a long-term investment and not as a trading vehicle. Investors could lose some or all of their investment. Past performance is not indicative of, or a guarantee of, future performance.

The Fund utilizes using leverage. Leverage involves the use of various financial instruments or borrowings in an attempt to increase the return of an investment. The use of leverage involves risk, including the potential for higher volatility and greater declines of the Fund’s NAV, and fluctuations of dividends and other distributions paid by the Fund.

The Fund invests primarily in below investment grade or unrated securities, which are commonly referred to as “high yield” securities or “junk” bonds. Investments in below investment grade securities are considered predominantly speculative with respect to the issuer’s capacity to pay interest and repay principal when due and such issuers are not perceived as strong financially as those with high credit ratings. The Fund invests a significant portion of its assets in CLO equity and junior debt and equity securities, which often involve risks that are different from or more acute than risks associated with other types of credit instruments.

The Fund’s filings with the Securities and Exchange Commission (“SEC”) contain information about the Fund’s investment objectives, risks, charges and expenses as well as other information about the Fund. These filings should be read carefully before investing. The Fund’s filings with the SEC may be found on the SEC’s website (www.sec.gov).
